Responsibilities:
- Lead the annual drive to implement an effective legal program within MBUs.
- Legal process systems management (C-Box, contracts management policy, CVM).
- Provide strategic legal vision and advice to enable the achievement of strategic business objectives.
- Identify potential areas of legal vulnerability and risk and develop/implement corrective action plans.
- Implement and apply company guidelines policies with the objective of reducing legal risk and protecting the assets of the MBU.
- Conduct legal watch and ensure comprehensive and ongoing knowledge of emerging trends and subjects that have the potential to impact the MBU.
- Lead the management of legal disputes, crisis, conflicts with consumers, government/enforcement authorities, competitors, and/or other stakeholders.
- Responsible for consistently communicating and socializing the Company’s Ethics Line (whistleblowing channel) to various stakeholders (internally and externally).
- Anticipate and evaluate emerging legal trends, anticipate legal developments, and continuously improve and strengthen the legal culture within MBUs.
- Deploy and conduct training at the local level company’s Corporate Legal policies, to develop and strategize communication of Legal program and processes across the MBUs.
- Manage, draft, and negotiate all complex business contracts, including sales and distribution contracts, service agreements, and/or any other commercial contracts as required by the MBU.
- Ensure collaborative objectives are achieved with various internal stakeholders in relation to internal audit, internal control, risk management, process improvement, and efficiency.
- Manage the bi-yearly corporate and litigation reporting to headquarters, company secretarial matters, understanding and advising on local corporate law requirements, and advocating strong internal governance.
- Lead the implementation and become a subject matter expert on various business conduct Legal policies (Code of Conduct, anti-competition, anti-corruption, anti-money laundering, data privacy, confidentiality, conflict of interest, international trade sanctions, etc, excluding HCS/BMS/Integrity compliance policies).
- Analyze complex legal risks & opportunities, including but not limited to company law, competition law, anti-corruption law, personal data law, food law, intellectual property law, property/land law, environment law, and build legal strategies to ensure continuous business growth.
- Accountable as the Business Process Owner on designated internal control topics and contribute to internal Legal audits and/or conduct quarterly monitoring on the company’s Corporate Legal to identify areas of vulnerability, opportunities, and risks.
Qualifications:
- Bachelor's Degree in Law/Legal.
- Minimum 10 years in a Thai legal firm or as an in-house counsel in the FMCG industry.
- Collaborative mindset and attitudes.
- Advocate & Solicitor / Legal Practitioner (or equivalent)
- Strong interpersonal communication and negotiation skills.
- Ability to prioritize and lead an action plan with pragmatism.
- Ability to lead and develop a high-performing team of professionals.
- Understanding the technical knowledge in the FMCG business and requirements.
- Maintain a high level of expertise & empowerment in the legal & compliance team.
- Ability to lead junior legal manager(s), driving efficiency and people development.
- Contract management - drafting, reviewing, and negotiation of highly complex and contested agreements.
- Proven ability in multi-tasking, prioritizing workload, high attention to detail, meticulous, follow-through, and accuracy.
- Policy review, improvement, and drafting skills, ability to develop complex legal/policy templates for the MBU or implementation at the regional level.
